Terms of Service

Practisaurus is a practice-management platform operated by OmgSamesies LLC ("Practisaurus," "we," "us"). These terms govern your use of the practisaurus.app website and the Practisaurus application. By creating an account or using the service, you agree to them. If you are accepting on behalf of a practice, you represent that you have the authority to bind that practice.

Two kinds of users

Practisaurus serves two kinds of users, and some terms apply differently depending on which you are.

Practices and their staff. A practice signs up for Practisaurus to run its business: scheduling, client records, notes, messaging, and payments. The practice is our customer, and the staff accounts it invites act on its behalf.

Clients of practices. A practice may invite its clients to use Practisaurus โ€” to book appointments, join sessions, message their provider, or pay for care. If you are a client, your relationship for care is with your practice, not with us; we provide the software your practice has chosen to use.

Your account

You must provide accurate information when creating an account and keep it current. You are responsible for safeguarding your password and for activity that happens under your account; tell us promptly at help@practisaurus.app if you believe your account has been compromised. You must be at least 18 years old (or the age of majority where you live) to hold an account. Practices may keep records about minor clients as part of providing care, but the account holder must be an adult.

Practices, health records, and HIPAA

Practices use Practisaurus to maintain records that can include protected health information (PHI). For that data, the practice is the covered entity under HIPAA and we act as its business associate under our Business Associate Agreement (BAA), which is part of these terms and is entered into when the practice creates its account. In addition:

  • The practice is responsible for its own legal and professional obligations โ€” licensure, standards of care, record-retention rules, and obtaining any consents its clients' care requires, including consent for text messaging.
  • Staff may access client records only as their role and their practice's authorization allow. Do not access, use, or disclose PHI beyond what your work requires.
  • The practice controls its records. Requests from clients about their records go to the practice, and we act on the practice's instructions.

Practisaurus is not a healthcare provider

Practisaurus is software. We do not provide medical or mental-health care, advice, or diagnosis, and nothing in the service is a substitute for professional judgment. Practices are solely responsible for the care they deliver.

Do not use Practisaurus for emergencies. If you or someone else is in crisis or danger, call 911, call or text 988 (the Suicide & Crisis Lifeline), or go to the nearest emergency room.

Acceptable use

Use the service only as intended and permitted by law. You agree not to:

  • break the law, or infringe anyone's rights, while using the service;
  • access another account, another practice's data, or any part of the service you are not authorized to use, or probe or test its security without our written permission;
  • misrepresent who you are or your affiliation with a practice;
  • upload malicious code, interfere with the service, or place unreasonable load on it;
  • scrape the service or use it to build a competing product; or
  • use the service to send spam or unsolicited messages.

We may suspend or remove access that violates these terms, and where the violation risks other users' data or safety, we may do so immediately.

Fees and payment

Practices pay subscription fees for Practisaurus as presented when they sign up or as otherwise agreed. Fees are billed in advance, are non-refundable except where required by law, and may change with notice before a renewal. Practices are responsible for applicable taxes.

Payments from clients to practices are processed by Stripe on the practice's own Stripe account. Those payments are between the client and the practice: the practice sets its fees, and refunds and billing disputes about care are resolved with the practice. We are not a party to the care relationship or its payments.

Text messaging

Practices can send appointment-related text messages to clients who have expressly consented, as described in our Privacy Policy and on our text messaging program page. Messages are transactional and informational only โ€” check-in links, appointment reminders, schedule changes, and alerts that a new message is waiting in your account. We never send marketing or promotional texts, and this program involves no affiliate marketing or lead generation of any kind.

  • Consent is collected as described on the program page, is freely given, and is never a condition of receiving care, booking an appointment, or completing any transaction.
  • Message frequency varies with your appointments. Message and data rates may apply.
  • Reply STOP at any time to opt out โ€” one final message confirms the opt-out, then no further texts are sent. To rejoin later, reply START or give your consent again as you did the first time. Reply HELP for help, or contact your practice or help@practisaurus.app.
  • Mobile carriers are not liable for delayed or undelivered messages. Standard text messages are not encrypted.
  • Mobile numbers and opt-in data are never shared with third parties or affiliates for marketing or promotional purposes.

Your content and ours

Practice records belong to the practice, and each user keeps ownership of the content they submit. You grant us the license we need to host, process, transmit, and display that content in order to operate and support the service โ€” for no other purpose. As covered in our Privacy Policy, we do not sell personal information and we do not use client records for advertising.

The Practisaurus software, site, design, and trademarks are ours. We grant practices and their invited users a limited, non-exclusive, non-transferable right to use the service while these terms are in effect. Feedback you choose to send us may be used to improve the service without obligation to you.

Termination

A practice may close its account at any time by contacting us. We may suspend or terminate access for material violation of these terms, and will give notice and a chance to cure when that is reasonable. When an account closes, we make practice records available for export for a reasonable period, then retain or delete data as described in our Privacy Policy and the practice's BAA. Healthcare records carry their own legal retention requirements, which remain the practice's responsibility. Sections of these terms that by their nature should survive termination โ€” including ownership, disclaimers, and limitations of liability โ€” survive it.

Disclaimers

The service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, though we work hard to keep it both.

Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability for all claims arising out of or relating to the service is limited to the amount the practice paid us in the twelve months before the claim arose. Nothing in these terms limits liability that cannot be limited by law, and nothing in them alters our obligations under a BAA.

Governing law

These terms are governed by the laws of the United States and of the state where OmgSamesies LLC is organized, without regard to conflict-of-law rules. Before filing a claim, contact us โ€” most concerns can be resolved quickly and informally.

Changes to these terms

We may update these terms from time to time. We will post changes here and update the effective date; material changes will be communicated to practices directly. Continuing to use the service after changes take effect means you accept the updated terms.
